$93m? and 300 creditors? over 20 years? Director disqualified

ASIC has disqualified a director from managing corporations for 5 years in relation to companies trading for over 20 years that were wound up with debts of over $93 million owing to the ATO, State Revenue, DEWR and FEG, and many others.

For over 20 years, between January 2001 and September 2021, a Mr Anthony Azizi of Bexley was the director of Trinity Constructions (Aust) Pty Ltd (wound up 20 September 2021) and Regal Consulting Services Pty Ltd (15 September 2021) and a shadow director of Trinco Pty Ltd.

In 2025, ASIC disqualified Mr Azizi from managing corporations for five years, under section 206F of the Corporations Act, following his involvement in the failure of these three construction industry companies.

For over 20 years, between January 2001 and September 2021, a Mr Azizi was the director of Trinity Constructions (Aust) Pty Ltd (wound up 20 September 2021) and Regal Consulting Services Pty Ltd (15 September 2021) and a shadow director of Trinco Pty Ltd.

In 2025, ASIC disqualified Mr Azizi from managing corporations for five years, under section 206F of the Corporations Act, following his involvement in the failure of these three construction industry companies.

At the time of ASIC’s decision, the three companies owed a combined total of over $93 million dollars, that is, $93,708,563, to over 300 unsecured creditors, including statutory debts to the ATO, NSW Office of State Revenue, Workers Compensation Nominal Insurer, DEWR in relation to the FEG, NSW Self Insurance Corporation, as well as other small businesses.

ASIC found that Mr Azizi “acted improperly and failed to meet his obligations as director” including that he failed to ensure that the companies met their statutory lodgment requirements; to take reasonable steps to ensure the companies kept written financial records; failed to ensure that they did not trade while insolvent; failed to lodge a Report on Company Activities and Property with the liquidator of Regal within 10 days; and to provide reasonable assistance to that liquidator by delivering all the books soon after the winding up.
